Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between Limnn (Private) Limited (“Limnn”, “we”, “us” or “our”), and the organisation or person that creates a workspace or otherwise accesses or uses the Services (“Customer”, “you” or “your”). They govern your access to and use of the Limnn platform, every module, the unified data graph, Cortex, the websites, the Limnn desktop apps, the Beam Android app and the APIs (together, the “Services”).

If you accept these Terms for an organisation, you confirm you have authority to bind it. The Acceptable Use Policy, Email & Anti-Spam Policy, Refund & Cancellation Policy, Privacy Policy and, where Limnn processes personal data for you, the Data Processing Addendum form part of these Terms.

02

Definitions

  • “Affiliate” means an entity that controls, is controlled by, or is under common control with a party.
  • “Authorized User” means an individual you permit to use the Services under your workspace, an employee, contractor or agent, for whom a seat has been provisioned.
  • “Customer Data” means the data, content, records and files that you or your Authorized Users submit to, or generate within, the Services.
  • “Cortex” means Limnn's AI layer that operates across your workspace to produce insights, drafts, automations and actions you authorise.
  • “Credits” means the metered units used to consume AI and certain other usage-based features, as shown in your workspace wallet.
  • “Documentation” means the guides Limnn makes generally available for the Services, including Limnn University.
  • “Merchant of Record” means Creem, the authorised reseller that sells online Limnn subscriptions to you and processes payment.
  • “Order” means an online subscription selection, order form or enterprise agreement describing the plan, seats, term and fees.
  • “Subscription Term” means the period for which you have subscribed to the Services.
03

The Services

Limnn provides a connected suite of business modules on a single data graph, with Cortex acting across them. We operate the infrastructure, deploy improvements and apply the controls described on our Security page. We may modify, add or discontinue features, provided we do not materially degrade the core functionality of a plan you are paying for during your paid Subscription Term.

We grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your Subscription Term, solely for your internal business operations and subject to these Terms, your plan and the Documentation.

Limnn does not offer an uptime commitment, support response times or service credits unless they are set out in a signed Order.

04

Accounts, workspaces and administrators

To use the Services you create a workspace and accounts. You configure the workspace, assign roles and permissions and designate administrators. Administrators can access, manage, restrict, export and delete Customer Data and user accounts within the workspace. Removing a user deactivates their account and revokes access; it does not delete the records they created.

You are responsible for all activity under your workspace and accounts, except to the extent caused by Limnn's breach of these Terms. Keep credentials confidential, use available security features such as multi-factor authentication and SSO, and tell us promptly at security@limnn.com about any suspected unauthorised access.

Authorized Users must be at least 16 years old (or older where local law requires). You are responsible for your Authorized Users' compliance with these Terms and for the accuracy, quality and legality of Customer Data and how you obtained it.

05

Free trial and beta features

New workspaces include a 30-day free trial; no payment card is required. Some capabilities, including data import and export, are available only on paid plans. When a trial ends without a paid plan, the workspace is paused, not deleted, and is restored when you subscribe.

We may offer preview, beta or early-access features (“Beta Features”). Trials and Beta Features are provided “as is”, without warranties or commitments, may change or end at any time, and are confidential.

06

Subscriptions, plans and seats

The Services are offered per module or as a full suite, priced per seat per month unless your Order says otherwise. Your entitlements, seats, term and usage allowances are those selected at purchase or recorded in your Order.

Seats are named to individual Authorized Users. You may reassign a seat when a user no longer needs access, but seats may not be shared. Seats or modules added mid-term are charged pro rata for the rest of the current term.

07

Fees, Merchant of Record, taxes and Credits

Online software subscriptions are sold and processed by our Merchant of Record, Creem, which acts as an authorised reseller of the software Services (Creem does not handle professional services; see below). Creem handles checkout, payment processing, receipts and invoices, and the calculation and collection of applicable sales tax or VAT; Creem's terms of sale and privacy policy also apply to the purchase. Limnn receives your billing contact, plan and payment status, but never your full card details. Enterprise agreements may be invoiced as set out in the Order.

You agree to pay all fees for your plan and any usage. Recurring fees are billed in advance for each billing period. Prices may change for a renewal term on prior notice; changes do not affect a period you have already paid for. All fees are non-refundable, including for partial periods, except where the law requires a refund or as stated in the warranty and indemnity sections below. Refunds the law requires are issued through Creem, as described in the Refund & Cancellation Policy.

Fees exclude taxes unless collected by the Merchant of Record. You are responsible for applicable sales, use, VAT, GST, withholding and similar taxes, other than taxes on Limnn's net income.

If an undisputed amount is overdue we may suspend the Services on notice. Raise any good-faith billing dispute promptly with support@limnn.com.

  • AI and certain usage-based features consume Credits. Workspaces receive a recurring Credit allowance and may buy top-ups; Credits have no cash value.
  • Outcome-based charges (for example per autonomous resolution) are drawn from your wallet as described in the pricing at the time of use.
08

Professional services (Limnn Experts)

Optional professional services, such as data migration and security or infrastructure setup, are provided by Limnn (Private) Limited under a separate written quote or statement of work (“SOW”) that sets out the scope, deliverables, timeline and fixed price. Services start only once you accept the SOW.

Professional services are invoiced directly by Limnn, not through the Merchant of Record, and are payable by bank transfer (or another method stated on the invoice) within the period stated on the invoice. Any taxes on services are shown on the invoice. Payment terms, cancellation and acceptance for services follow the SOW.

Where an SOW conflicts with these Terms on the services it covers, the SOW controls. Deliverables that are configurations of your workspace are Customer Data; Limnn keeps ownership of its tools, templates and know-how.

09

Renewal and cancellation

Subscriptions renew automatically for successive periods equal to the prior one unless cancelled. You can see your plan status under Settings → Plan & billing. To cancel, email support@limnn.com from an owner or admin address; we process cancellations within three business days, and you may also use any subscription-management link Creem provides. Cancellation stops future renewals and takes effect at the end of the paid period. Access continues until then, and fees already paid are not refunded. Details are in the Refund & Cancellation Policy.

Automatic renewal disclosure. By starting a paid subscription you authorise Creem, as Merchant of Record, to charge your payment method at the start of each billing period (monthly, quarterly or annual, as selected at checkout) for the then-current price of your plan, seats and add-ons plus applicable taxes, until you cancel. If we change the price of your plan we will tell the account owner by email at least 30 days before the change applies to your next renewal; continuing after the renewal date is acceptance of the new price.

10

Acceptable use

You must use the Services lawfully and in line with the Acceptable Use Policy and the Email & Anti-Spam Policy. In particular, you must not, and must not let anyone else:

  • send unsolicited or unlawful communications, or ignore opt-outs and do-not-contact rules, when using email, sequence or marketing features;
  • record calls or deploy workforce analytics without the notice and consent the law requires;
  • store or transmit unlawful, infringing, defamatory, harassing or harmful content;
  • probe, breach or circumvent security, authentication, rate limits or plan limits, or access another customer's data;
  • reverse engineer the Services except where the law allows, or use them to build a competing product;
  • resell or provide the Services to third parties other than your Authorized Users; or
  • introduce malware or place an unreasonable load on the Services, or access them by automated means other than the documented APIs.
11

Customer Data and ownership

As between the parties, you own Customer Data. You grant Limnn a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data only to provide, secure and support the Services, to let Cortex perform what you request, and as described in the Privacy Policy and DPA.

You confirm you have the rights, consents and lawful bases needed to submit Customer Data and that its use through the Services does not break any law or third-party right. If you use workforce analytics (Limnn Active), HR or recruiting features, you are responsible for notices, consultation and lawful basis for your people, as set out in the Limnn Active notice.

Limnn does not offer customer-requested restores of business records; keep your own exports of data you must retain.

12

Cortex and AI features

Content you provide to Cortex is “Input” and content it returns is “Output”. As between the parties, Input is Customer Data and you own Output to the extent the law allows. You are responsible for reviewing Output before relying on or acting on it.

Cortex uses third-party AI providers, listed on Sub-processors & Data, which process Input to return Output. Limnn does not use Customer Data to train AI models. How data flows to providers is described in AI & Cortex Data Use.

Output may be inaccurate, incomplete or similar to content generated for others, and is not professional advice. AI agents act within the autonomy levels, tool permissions, spend caps and approval rules you configure; customer-facing or irreversible agent actions require human approval. You are responsible for oversight appropriate to the risk of each task.

13

Third-party services and integrations

You may connect third-party services, for example your own calendar, messaging, code-hosting, automation or payment accounts. Their terms and privacy practices govern your use of them, and Limnn is not responsible for those services or for data you choose to exchange with them. We may disable an integration that creates a security or legal risk.

14

Data protection and security

Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf, the DPA applies, including Standard Contractual Clauses for international transfers where required. We maintain the measures described on our Security page; you are responsible for configuring permissions, security policies and integrations to meet your obligations.

We will notify you without undue delay of a personal data breach affecting your Customer Data, as described in the DPA.

15

Confidentiality

“Confidential Information” means non-public information disclosed by one party that is marked confidential or that a reasonable person would understand to be confidential, including Order terms, roadmaps, security details and Beta Features. It excludes information that is public through no fault of the recipient, already known without restriction, independently developed, or rightfully received from a third party.

The recipient will use Confidential Information only to perform under these Terms, protect it with reasonable care and disclose it only to people who need to know and are bound by confidentiality, or where the law requires (with notice where permitted).

16

Intellectual property, feedback and publicity

Limnn and its licensors own the Services, software, Documentation and all related intellectual property, including improvements. No rights are granted except those expressly stated.

If you give us feedback, you grant Limnn a perpetual, irrevocable, worldwide, royalty-free licence to use it to improve the Services.

Neither party may use the other's name or logo without consent, except that Limnn may list you as a customer; you may withdraw that permission by email to legal@limnn.com.

17

Suspension

We may suspend access to all or part of the Services, with notice where practicable, if (a) there is a threat to the security, integrity or availability of the Services; (b) you breach these Terms or the Acceptable Use Policy; (c) the law or a government request requires it; or (d) fees are overdue. We restore access once the cause is resolved. Suspended workspaces are paused, not deleted.

18

Term, termination, export and deletion

These Terms apply while you use the Services. Either party may terminate for the other's material breach not cured within 30 days of written notice. We may terminate immediately for serious violations of the Acceptable Use Policy, non-payment, or where the law requires.

When a subscription ends: your right to use the Services ends and the workspace is paused; fees already due remain payable. Limnn does not delete the workspace automatically. You may ask us to reactivate it to export Customer Data with the available tools, or ask us to delete it. The owner can request permanent deletion at support@limnn.com, after which Customer Data is removed from our live systems and expires from provider backups on their schedule. We may delete a workspace that has been inactive and unpaid for an extended period after giving the owner reasonable advance notice by email.

Sections that by their nature should survive, including fees due, confidentiality, intellectual property, disclaimers, limitation of liability, indemnities and dispute resolution, survive termination.

19

Warranties and disclaimers

Each party confirms it has authority to enter these Terms. Limnn warrants that during a paid Subscription Term the Services will perform materially as described in the Documentation; your exclusive remedy for a breach is our reasonable effort to fix it or, if we cannot, termination of the affected subscription and a refund of prepaid, unused fees.

EXCEPT AS EXPRESSLY STATED, THE SERVICES, INCLUDING BETA FEATURES AND AI OUTPUT, ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIMNN DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT AI OUTPUT WILL BE ACCURATE.

20

Indemnification

Limnn will defend you against third-party claims that the Services, as provided by us and used in line with these Terms, infringe that party's intellectual property rights, and pay amounts finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, Beta Features, use in breach of these Terms or combination with non-Limnn products. If the Services may be enjoined, we may obtain the right to continue, modify them, or end the affected subscription and refund prepaid, unused fees.

You will defend Limnn against third-party claims arising from Customer Data or from your or your Authorized Users' use of the Services in breach of these Terms or the law, including claims about outreach, call recording or workforce analytics, and pay amounts finally awarded or agreed in settlement.

The indemnified party will give prompt notice, reasonable cooperation and control of the defence; no settlement imposing liability on the indemnified party may be made without its consent.

21

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

These limits do not apply to your payment obligations, indemnification obligations, breach of confidentiality, or liability that cannot be limited by law.

22

Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or the Services, are governed by the laws of the State of Delaware, USA, and applicable US federal law, without regard to conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. A signed Order may specify a different governing law.

The parties will first try to resolve any dispute through good-faith discussion for at least 30 days after written notice to legal@limnn.com or to the customer's account owner. If that fails, the dispute will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Wilmington, Delaware, the language is English, and hearings may be held remotely by video conference. Judgment on the award may be entered in any court with jurisdiction. Arbitration is on an individual basis; to the extent the law allows, each party waives the right to a class or representative action.

Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or Confidential Information. Matters that are not subject to arbitration are heard exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

Consumers and mandatory law. If you use the Services as a consumer, or where the law of your country gives you rights that cannot be waived by contract, including consumers in the European Union and the United Kingdom, nothing in this section removes those rights, including any right to bring proceedings in the courts where you live or to rely on the mandatory consumer-protection laws of your country.

23

Export controls, sanctions and anti-corruption

You must comply with export-control and sanctions laws and confirm that you and your Authorized Users are not located in an embargoed region or on a restricted-party list. Each party will comply with anti-bribery and anti-corruption laws.

24

Changes to these Terms

We may update these Terms. For material changes we will give reasonable notice, for example by email to workspace administrators or in the app, before they take effect. If you do not agree, you may cancel before the change applies; continued use after the effective date means you accept the updated Terms.

25

Notices

We may send notices through the Services or to the email addresses of your workspace owner and administrators. Legal notices to Limnn must be sent by email to legal@limnn.com. Keep your contact and billing details current.

26

General

  • Entire agreement: these Terms, the policies they reference and any Order are the entire agreement on their subject.
  • Precedence: a signed Order controls over these Terms; the DPA controls on data protection; these Terms control over other policies unless a policy says otherwise.
  • Assignment: you may not assign these Terms without our consent, except to a successor in a merger or acquisition that is not a Limnn competitor; Limnn may assign to an Affiliate or successor.
  • Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
  • Severability and waiver: an unenforceable provision does not affect the rest; not enforcing a provision is not a waiver.
  • The parties are independent contractors; there are no third-party beneficiaries.
